Dear ____________________ :

When countersigned by you, on behalf of ____________________ ("Company"), this letter will confirm that Company has agreed to, and hereby does grant, to ____________________ ("Producer") the right to use its product ____________________ , including any related logo(s) and trademark(s) (collectively, the "Product") in the theatrical motion picture presently entitled "____________________ " (the "Picture"). Company acknowledges that the Picture may be exhibited and exploited worldwide, in all languages and in all media now known or hereafter devised in perpetuity.

Producer agrees that the Product will not be used in a disparaging manner. Company hereby warrants and represents that it has the right and authority to grant the rights granted herein, that the consent of no other person or company is required to enable Producer to use the Product as described herein, and that such use will not violate the rights of any kind of any third parties. Company agrees to indemnify and hold harmless Producer, its officers, shareholders, assignees and licensees, and each of their successors-in-interest from and against any and all liabilities, damages and claims (including attorneys' fees and court costs) arising out of (i) any breach of Company's warranties, (ii) Producer's use of the Product, as provided herein, and/or (iii) the rights granted herein.

The sole remedy of Company for breach of any provision of this agreement shall be an action at law for damages, and in no event shall Company seek or be entitled to injunctive or other equitable relief by reason of any breach or threatened breach of this Product Release agreement, or for any other reason pertaining hereto, nor shall Company be entitled to seek to enjoin or restrain the exhibition, distribution, advertising, exploitation or marketing of the Picture.
